Terms of Service
The agreement between you and ManageSM when you use the service. We tried to keep the fine print readable.

1. Acceptance
By creating an account or using ManageSM, you agree to these Terms of Service and our Privacy Policy. If you don't agree, don't use the service. If you're accepting on behalf of an organisation, you confirm you have authority to bind it.
2. The service
ManageSM is a social media management platform: schedule posts, get approvals, publish to connected networks, and see how posts performed. Feature availability depends on your plan and on which social networks have approved us for their APIs.
Some features are marked “on the roadmap” or “coming soon.” We build in public and don't hide our current state. If a feature you were promised isn't available, contact us and we'll make it right — either by prioritising it or by refunding you.
3. Your account
- You must provide accurate information and keep it up to date.
- You're responsible for the security of your login credentials and for anything done through your account.
- Notify us at hello@managesm.com immediately if you suspect unauthorised access.
- You must be at least 16 years old (18 in some jurisdictions) to use ManageSM.
4. Acceptable use
Don't use ManageSM to:
- Publish anything unlawful, deceptive, harassing, defamatory, or that infringes someone else's rights.
- Send spam, engage in coordinated inauthentic behaviour, or otherwise violate the terms of the social networks you connect.
- Attempt to reverse-engineer, scrape, or overload the service.
- Circumvent plan limits or resell the service without a written reseller agreement.
- Store or transmit malware.
We may suspend or terminate accounts that violate this section. We'll try to give you a warning first unless the violation is severe.
5. Your content
You own everything you upload, draft, or publish through ManageSM — text, images, video, brand assets, approval decisions. We call this “Customer Content.”
You grant us a limited, worldwide, non-exclusive licence to store, process, transmit, and display Customer Content solely to operate the service for you (for example, publishing your post to Instagram when you scheduled it). This licence ends when you delete the content or your account, except for backups which are purged within 30 days.
We do not use your Customer Content to train AI models or share it with anyone other than the sub-processors listed in our Privacy Policy.
6. Third-party services
ManageSM connects to social networks and other third-party services. Your use of those services is governed by their own terms — you accept those terms directly with those providers when you connect an account. We're not responsible for their availability, changes, or actions (e.g., if X suspends your account).
7. AI features
When you use AI drafting features, the text you provide is sent to Anthropic for processing. Anthropic's API terms apply. The output is a suggestion — you are responsible for reviewing anything AI drafts before publishing. AI can produce inaccurate or inappropriate text. We do not warrant that AI output is accurate, safe, or fit for any purpose.
8. Payment (once billing launches)
- Subscriptions are billed in advance, monthly or annually.
- Prices are in USD unless stated otherwise. Taxes may be added based on your billing address.
- You authorise us to charge your payment method on each renewal.
- If a charge fails, we'll retry and email you. If unresolved for 14 days, the workspace pauses.
9. Free trials
New workspaces get a 14-day free trial with no credit card required. At the end of the trial, you pick a plan or the workspace pauses. Nothing publishes during a paused workspace, and no data is deleted for 90 days.
10. Cancellation and refunds
- You can cancel any time in Settings. Cancellation takes effect at the end of your current billing cycle.
- We prorate refunds on downgrade for annual plans. Monthly plans stop at the end of the cycle with no refund.
- If we materially reduce features you paid for, contact us for a prorated refund.
11. Termination by us
We can suspend or terminate your account if you materially breach these terms, if we're legally required to, or if you don't pay. We'll try to give 30 days' notice for non-payment and let you export your data.
12. Warranties and disclaimers
We provide the service “as is” and “as available.” To the maximum extent allowed by law, we disclaim all implied warranties — merchantability, fitness for a particular purpose, and non-infringement.
We don't guarantee that the service will be uninterrupted, error-free, or that every post will publish successfully (social networks have their own outages and rate limits). We'll keep you informed of any known issues via our status page.
13. Limitation of liability
To the maximum extent allowed by law, our total liability to you for any claim arising from your use of ManageSM is limited to the amount you paid us in the 12 months before the claim, or USD $100, whichever is greater.
We're not liable for indirect, incidental, special, consequential, or punitive damages — even if we knew they were possible. This includes lost profits, lost data, lost customers, or business interruption.
14. Indemnification
You'll defend and indemnify us against any claim arising from (a) your Customer Content, (b) your use of the service in violation of these terms, or (c) your violation of a third party's rights.
15. Governing law and disputes
These terms are governed by the laws of Canada and the province of British Columbia, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts of British Columbia, and you consent to their exclusive jurisdiction.
If you're in the EU or UK, you may also have rights under your local consumer protection laws that these terms don't override.
16. Changes to these terms
We may update these terms. If we make material changes, we'll notify you in-app and by email at least 30 days before they take effect. Continuing to use the service after that date means you accept the new terms.
17. Miscellaneous
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us on this subject.
- Severability. If any part is found unenforceable, the rest still applies.
- No waiver. If we don't enforce a right immediately, we haven't waived it.
- Assignment. You can't assign these terms without our written consent. We can assign them (e.g., in a change of control).
- Force majeure. Neither of us is liable for delays caused by circumstances beyond reasonable control.
